1. Use of Our Website
- You may use our site for lawful purposes only.
- You must not attempt to hack, disrupt, or misuse our site or services.
- We reserve the right to restrict access if you violate these terms.
2. Our Services
- Scope: Services are provided as described in your agreement or proposal. For example, website builds include design and launch; ongoing plans include maintenance and updates.
- Client Responsibilities: You must provide accurate information, content, and access (e.g., to existing websites or accounts) to enable us to deliver services.
- Ownership: Upon full payment, you own the delivered website, excluding third-party tools or licensed assets. We retain rights to our proprietary designs and code.
- Modifications: We may adjust service terms (e.g., pricing) with 30 days’ notice.
3. Payments
- Payments for services, including Monthly Website Plans, are due as outlined in your agreement (e.g., monthly via automatic billing).
- Monthly Website Plans are subscription-based, and services—including website hosting, maintenance, updates, and access to features like CRM automation—continue only while payments are current.
- If payment fails or is overdue by 7 days, we may suspend services, including taking the website offline, until payment is restored.
- Late payments may incur fees, and unpaid balances may be sent to collections after 30 days.

4. Intellectual Property
- You grant us a non-exclusive license to use content you provide (e.g., logos, text) to perform services.
- Our website content, designs, and tools are protected by copyright and may not be reproduced without permission.
5. Limitation of Liability
- We strive to deliver high-quality services but do not guarantee specific results (e.g., SEO rankings or lead volume) due to factors beyond our control.
- To the fullest extent permitted by law, Upgrade Digitals is not liable for indirect, incidental, or consequential damages arising from our services or website use.
- Our total liability is limited to the amount you paid for the service in question.
6. Termination
- You may cancel Monthly Website Plans with 30 days’ written notice by emailing support@upgradedigitals.com. Upon cancellation, services, including website hosting and access to deliverables, will cease at the end of the billing cycle.
- We may suspend or terminate services for non-payment after 7 days of overdue payment, with notice sent to your registered email. During suspension, your website may be taken offline, and other services (e.g., maintenance, CRM access) will stop.
- Upon termination, you remain responsible for outstanding fees. Reinstatement may require payment of all overdue amounts and a reactivation fee, at our discretion.
7. Governing Law
These terms are governed by the laws of Ontario, Canada. Disputes will be resolved in the courts of Toronto, Ontario.
